Biography

Edward A. Wyatt is an attorney who understands that legal issues can have very real consequences for the performance of a business.  He begins every engagement by learning as much as possible about the operations, finances, and organizational structure of his client's business so that he is prepared to adeptly handle any type of business litigation or transaction.  Moreover, his business background provides with him a unique practical perspective that informs his legal analysis.

Edward started his legal career as the law clerk to Judge Ben F. Tennille of the North Carolina Business Court, a forum dedicated to adjudicating complex business litigation.  He then spent more than a decade practicing at several prominent firms in the Southeast and was named a "Rising Star" in Washington, DC by Super Lawyers.  Most recently, he served as the general counsel to a group of privately held companies with interests in a wide variety of industries, including franchised food service, commercial real estate, and professional sports.  Prior to entering the legal field, Edward was a commercial banker; experience that he has drawn upon throughout his legal career to advise businesses, negotiate and close complex transactions, and litigate commercial disputes.

Edward obtained his law degree from the Wake Forest University School of Law, where he served as the Editor-in-Chief of the Wake Forest Law Review and was the recipient of the Russell Twiford Scholarship.  He holds an M.B.A. from the University of South Carolina and a B.S. from James Madison University. 

A native North Carolinian, Edward lives in Raleigh with his wife, Kate; son, Beau; and golden retriever, Hank.  When not striving to enhance his clients' business interests, he enjoys watching college sports (especially the Demon Deacons), reading, cooking, and exercising. He is a member of St. Michael’s Episcopal Church, the Rotary Club of the Capital City, and the Society of the Cincinnati in the State of Virginia.

Business Counseling

  • Advised various business entities on the fiduciary duties of their officers and directors.

  • Created privacy and marketing policies for clients’ website and social media platforms.

  • Designed shared services arrangement to control general and administrative expenses of affiliated entities.

  • Mitigated risk for businesses in numerous industries, including commercial real estate, food services, professional sports, and retail.

Business Litigation

  • Served as first chair in jury trial defending manufacturer against breach of contract and warranty claims.

  • Defended multifamily REIT as second chair at trial, relating to its acquisition of real estate portfolio and management company.

  • Defended companies, directors, and officers in shareholder lawsuits, involving mergers, stock offerings, and fiduciary duties.

  • Defended retailer in contract dispute with supplier regarding consignment agreement.

  • Defended trust department of commercial bank against breach of fiduciary duty claims.

  • Negotiated workouts of business and commercial real estate loans on behalf of creditors and debtors.

  • Represented big box retailer in disputes with commercial real estate developers.

  • Represented national retailer in income tax litigation arising from corporate restructuring.

Business Transactions

  • Delivered commercial mortgages and loans secured by restaurant properties.

  • Drafted and negotiated agreements and closing documents in asset sales, mergers, and stock purchases.

  • Negotiated agreements regarding franchisee fees and restaurant site development.

  • Negotiated sale of the operations of quick service restaurants by franchisee.
